AFP Desk — Terms of Service

Effective September 8, 2026

1. This agreement

These Terms of Service ("Terms") form a binding agreement between AFP Desk, a sole proprietorship based in the State of Texas ("AFP Desk", "we", "us"), and the company that opens an account ("Customer", "you").

You accept these Terms by typing your name and clicking to accept, by creating an account, or by using any AFP Desk service. Typing your name and clicking to accept has the same legal effect as a handwritten signature under the federal E-SIGN Act and the Texas Uniform Electronic Transactions Act, and no separately signed copy is required. By accepting you confirm that you are authorized to enter this agreement on behalf of your company, and that the company you represent is bound by it.

Our Privacy Policy and Subscription Policy are part of this agreement. Where they conflict with these Terms, these Terms control — except on billing, where the Subscription Policy controls.

2. The services

What you receive depends on what you subscribe to.

We may add, change or remove features. We will not materially reduce a service you are actively paying for without reasonable notice.

3. Accounts and users

You are responsible for the accuracy of your signup information, for keeping credentials confidential, and for everything done under your account — including by users you invite. Tell us at contact@afpdesk.com immediately if you suspect unauthorized access. Accounts are for your company only; do not share logins or resell access.

4. Connected accounts (Amazon Relay, Geotab, Netradyne)

Our dispatch, safety and monitoring services depend on access to accounts you hold with third-party systems ("Connected Accounts"). Depending on the services you buy, these include:

You grant access by adding AFP Desk, or a named AFP Desk dispatcher, as a user or dispatch agent under your own account in each system.

You represent and warrant that, for every Connected Account:

Driver monitoring, telematics and camera data. Geotab and Netradyne collect information about identifiable drivers — location, driving behavior, hours of service, and in Netradyne's case in-cab and road-facing video and driver-safety scoring. That monitoring program is yours, not ours. You decide what to deploy, what it records, and how it is used. You represent and warrant that, before granting us access, you have given your drivers every notice and obtained every consent and authorization required by law — including under state biometric privacy laws such as the Texas Capture or Use of Biometric Identifier Act and the Illinois Biometric Information Privacy Act, state and federal video, electronic-monitoring and wiretap laws, and any applicable collective bargaining agreement — and that you will maintain those consents.

We access this data only to deliver the services you purchased. We do not download, export or retain camera video, and we do not use driver video, telematics or safety scores to train any model. We do not make employment, disciplinary or safety determinations about your drivers; anything we surface from these systems is information for you to act on.

We are not affiliated with, endorsed by, or acting for Amazon, Geotab, Netradyne or any other Connected Account provider. Your relationship with each is yours alone and is governed by your own agreements with them. We are not responsible for their decisions, outages, interface changes, account suspensions, pricing, or for your scorecard, performance or pay outcomes. If any of them changes or restricts its systems in a way that degrades or ends a service, we may modify or discontinue that service.

You will defend and indemnify us against any claim arising from the access you grant us, from any Connected Account, from your driver-monitoring program, or from your agreements with those providers.

5. Contacting your drivers

For Dispatch Pro, Safety Pro and Dispatch Pro+, our personnel will contact your drivers by phone call and text message using the contact information you provide, acting on your behalf and at your direction.

You represent and warrant that you have obtained all consents required by law — including under the Telephone Consumer Protection Act and equivalent state laws — for AFP Desk to call and text those drivers at the numbers you supply on your behalf; and that you will maintain those consents, keep the numbers current, and pass any opt-out request to us promptly. You will defend and indemnify us against claims arising from communications made to numbers or people you supplied.

We do not record calls with your drivers.

5A. SMS Terms (text message program)

These SMS Terms apply to the AFP Desk schedule text messaging program (the "Program"), operated by AFP Desk, a sole proprietorship based in the State of Texas.

Program description. AFP Desk lets a trucking company (the Customer) send work-schedule text messages to its own drivers. The messages are sent by AFP Desk on the Customer's behalf and contain information such as the driver's trip days, start times and trip types for the coming week. The messages are informational only. AFP Desk does not send marketing or promotional texts through this Program.

How you opt in. By giving your mobile number to your employer for work scheduling and agreeing (verbally or in writing) that your employer may text your schedule to that number, you opt in to receive Program messages. The Customer is responsible for obtaining each driver's consent to receive these messages at the number supplied, and must confirm in the AFP Desk app that it has done so before it can send a schedule by text. Consent to receive text messages is not a condition of any purchase or of using any AFP Desk service.

Message frequency. Message frequency varies with how often the Customer publishes or changes a schedule, typically about one message per driver per week.

Message and data rates may apply. Your mobile carrier may charge you for messages you send or receive, depending on your plan.

How to opt out. Reply STOP to any message at any time to stop receiving messages. You will receive one confirmation message, and no further Program messages will be sent to that number. Reply START to resume. You may also tell your employer to remove your number.

Help. Reply HELP for help, or contact AFP Desk at contact@afpdesk.com.

Supported carriers and availability. The Program is available on major U.S. mobile carriers. Carriers are not liable for delayed or undelivered messages, and delivery is not guaranteed.

Privacy. Your mobile number and opt-in status are handled under our Privacy Policy. We do not sell your mobile number or SMS consent, and we do not share them with third parties or affiliates for their marketing or promotional purposes.

6. Your data

You own the operational data you upload or generate: schedules, drivers, trucks, loads, dispatch logs, reports and payroll output. You grant us a non-exclusive license to host, process, transmit and display that data solely to provide the services, support you, and meet legal obligations.

We may create and use de-identified and aggregated data — data that does not identify you, your drivers or your company — to operate, secure, benchmark and improve the services. That data is ours.

You may export your operational data at any time from your workspace.

7. Your responsibilities

You remain the motor carrier. Nothing in these Terms transfers any regulatory duty to us. You are solely responsible for:

Our personnel act as your service provider — not as your employees, agents or partners — and do not become co-employers of your drivers. Recommendations, dispatch decisions and alerts we provide are operational assistance, not legal, safety, tax or compliance advice. You must review and verify anything that matters.

8. Acceptable use

You will not: access another customer's data; probe, scan or interfere with the platform's operation or security; reverse-engineer, decompile, copy or create derivative works of the platform; scrape or bulk-extract from it other than through your own export tools; resell, sublicense or provide the services to third parties; use the services to build a competing product; or use them unlawfully or to harass any person.

9. Service limits — please read

The services are operational tools. They are not a safety system, not an emergency service, and not a guarantee of any outcome.

Monitoring and alerts depend on third-party systems we do not control, including Amazon Relay, browser sessions, internet connectivity, email providers and mobile carriers. Alerts may be delayed, duplicated, inaccurate, or may not arrive at all. Managed dispatch is delivered by people, during the hours you purchase, and only during those hours. We do not guarantee uninterrupted or error-free service, that any load will be covered, that any alert will be delivered or acted on, or that any schedule, payroll or report calculation is free of error.

Do not rely on the services as your only means of monitoring your fleet, your drivers' safety, or your compliance obligations.

10. Our intellectual property

AFP Desk owns the platform, software, interfaces, documentation, alert logic and thresholds, dispatch methods and playbooks, and all related intellectual property. You receive a limited, revocable, non-exclusive, non-transferable right to use the services during your subscription. If you send us feedback or suggestions, we may use them without restriction or payment.

11. Confidentiality

Each party will protect the other's non-public business information with at least reasonable care and use it only for this agreement. This does not cover information that is public, already known, independently developed, or lawfully received from a third party. Either party may disclose where legally compelled, after giving notice if permitted.

12. Fees

Fees, trials, billing cycles, cancellation and refunds are set out in the Subscription Policy, which is incorporated here. You authorize us and our payment processor to charge your payment method on the terms described there.

13. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if your payment fails, if required by law, or if your account creates a security or operational risk. Where practical we will give notice first. You may cancel at any time under the Subscription Policy.

On termination your right to use the services ends. Your workspace enters a 30-day recovery window during which access is suspended but data is retained and can be restored on request. After that window the workspace and its data are permanently deleted and cannot be recovered. Export anything you need before you cancel.

14. Disclaimer of warranties

The services are provided "as is" and "as available", with all faults and without warranty of any kind. To the fullest extent permitted by law we disclaim all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or trade usage.

15. Limitation of liability

To the fullest extent permitted by law:

These limits apply to every theory of liability and survive any failure of a remedy's essential purpose. They do not apply to a party's fraud or willful misconduct, or to anything that cannot be limited by law.

16. Indemnification

You will defend, indemnify and hold harmless AFP Desk and its personnel against any claim, loss, liability, fine and expense (including reasonable attorneys' fees) arising from: your use of the services; your data; your Amazon Relay account and your agreements with Amazon; your communications with drivers and the consents behind them; your employment of and dealings with your drivers and staff; your regulatory compliance; or your breach of these Terms.

17. Disputes — arbitration and class waiver

Please read this section carefully. It affects how disputes are resolved.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

Informal resolution first. Before filing anything, email contact@afpdesk.com describing the dispute. Both parties will try in good faith to resolve it for 30 days.

Binding arbitration. Any dispute not resolved informally will be settled by final and binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The Federal Arbitration Act governs. Arbitration will be conducted remotely, by videoconference or on documents; if an in-person hearing is required it will be held in the Texas county in which AFP Desk maintains its principal place of business. The arbitrator decides all issues, except that a court decides whether the class waiver below is enforceable.

Class action and jury waiver. Disputes will be brought only in an individual capacity. You and AFP Desk waive any right to a jury trial and any right to bring or participate in a class, collective, consolidated or representative action. If the class waiver is held unenforceable as to a claim, that claim proceeds in the state or federal courts of the Texas county in which AFP Desk maintains its principal place of business, and the rest of this section still applies to every other claim.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek temporary or permanent injunctive relief in the state or federal courts of the Texas county in which AFP Desk maintains its principal place of business to protect intellectual property or confidential information. Both parties consent to that jurisdiction and venue.

Time limit. Any claim must be filed within one (1) year after it arises or it is permanently barred, to the extent the law allows.

18. General

Changes. We may update these Terms. For material changes we will update the effective date and notify account administrators by email or in-app. Continued use after changes take effect is acceptance.

Assignment. You may not assign this agreement without our written consent. We may assign it — including to a company, LLC or other entity later formed by or on behalf of the AFP Desk owner, or to a successor in a merger or sale of the business — without your consent.

Notices. To you: the email address on your account. To us: contact@afpdesk.com. Notice is effective on delivery, or on the next business day after email transmission.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages, third-party platform failures, natural disasters, labor disputes and government action.

Severability and waiver. If a provision is unenforceable it is modified to the minimum extent needed, or severed, and the rest stays in force. A failure to enforce is not a waiver.

Independent parties. Nothing here creates a partnership, joint venture, franchise, employment or agency relationship.

Entire agreement. These Terms, the Privacy Policy and the Subscription Policy are the entire agreement about the services and supersede all prior discussions. Any purchase order or vendor form terms you issue are void.
